These Terms & Conditions (“Terms”) govern your access to and use of sparlinveneer.com (the “Site”) and any enquiry, quotation, or order placed with Sparlin, operated under the registered trading name Ambica Veneer (“Sparlin,” “we,” “us,” or “our”). By using the Site or placing an order with us, you agree to be bound by these Terms.
1. About Us
Sparlin (Ambica Veneer) is a Mumbai-based wholesale trader and distributor of natural wood veneer sheets, supplying architects, interior designers, contractors, and furniture manufacturers. We are a proprietorship registered under GST 27AAPPF8591E1ZB, operating from Andheri East and Byculla East, Mumbai.
We supply veneer as a raw material for our trade customers’ own projects; we do not manufacture furniture or finished interiors.
2. Eligibility
The Site and our products are intended for business-to-business (B2B) trade customers — architects, interior designers, contractors, furniture manufacturers, and similar trade professionals. By placing an enquiry or order, you confirm that you are authorised to do so on behalf of the business you represent.
3. Products, Quotations, and Minimum Order Quantities
- Product listings on the Site (species, finish, and images) are indicative. Natural wood veneer is a natural material, and grain pattern, tone, and texture will vary sheet to sheet and from what is shown online; such variation is not a defect.
- Prices, availability, and specifications are subject to change without notice and are confirmed only in a written quotation.
- Orders are subject to our standard minimum order quantity (approximately 690 sq. ft. per order, unless otherwise agreed in writing).
- A quotation does not constitute a binding offer until confirmed by both parties in writing (including by email).
4. Orders and Payment
- Orders are confirmed only once we issue a written order confirmation and, where applicable, receive the agreed advance payment.
- Payment terms (advance, part-payment, or credit terms) will be agreed in writing on a per-order or per-account basis.
- We reserve the right to decline or cancel any order prior to confirmation, including where product availability, pricing, or specification cannot be met.
5. Shipping and Delivery
- Delivery timelines quoted are estimates and may vary due to material availability, processing time, or logistics/carrier delays.
- Risk in the goods passes to the customer upon dispatch from our facility, unless otherwise agreed in writing.
- The customer is responsible for inspecting goods promptly upon delivery and notifying us of any damage or discrepancy in accordance with our Return & Refund Policy.
6. Intellectual Property
All content on the Site — including text, images, product photography, logos, and the Sparlin and Ambica Veneer names — is the property of Sparlin (Ambica Veneer) or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use this content for commercial purposes without our prior written consent.
7. Acceptable Use
You agree not to use the Site to:
- Violate any applicable law or regulation
- Misrepresent your identity or authority to act on behalf of a business
- Attempt to gain unauthorised access to the Site or its underlying systems
- Copy, scrape, or republish Site content without authorisation
8. Warranties and Disclaimers
We take reasonable care in selecting and processing the veneer we supply. However:
- Natural veneer is subject to natural variation in colour, grain, and texture, which is not considered a defect.
- The Site and its content are provided “as is” without warranties of any kind, express or implied, except as required by applicable law.
- We do not warrant that the Site will be uninterrupted or error-free.
9. Limitation of Liability
To the fullest extent permitted by law, Sparlin (Ambica Veneer) shall not be liable for any indirect, incidental, or consequential loss arising from the use of the Site or our products, including loss of profit or business opportunity. Our total liability in respect of any order shall not exceed the value of that order.
10. Indemnification
You agree to indemnify and hold Sparlin (Ambica Veneer) harmless from any claims, damages, or expenses arising from your misuse of the Site or breach of these Terms.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
